B-BBEE Ownership Transactions

Structure, fund and implement black ownership deals that are commercially sound, compliant and built to last.

Bringing in black shareholders can improve a company’s B-BBEE recognition, open procurement and licensing opportunities and support long-term transformation. But ownership transactions are complex: the structure, funding and governance terms determine how many points are actually recognised, and poorly designed deals can unwind, fail verification or amount to fronting.

What we advise on

Fronting is a serious risk

Fronting practices are an offence under the B-BBEE Act. Arrangements that give black shareholders title without genuine economic benefit or participation, or that hand control back through side agreements, expose the company and its directors to penalties and reputational harm.

Part of a sale or succession plan?

Many owners use a B-BBEE transaction as part of a partial exit or succession plan. We align the ownership deal with the wider transaction so that value, control and tax outcomes are considered together.

Common Questions

It depends on your goals and sector. Under the generic Codes the ownership target is 25% plus one vote, but a smaller stake can still earn points, and your sector code or customers may set different targets.
Yes. Vendor finance is common, but how it is structured affects net value and therefore the points recognised. Repayment terms, dividend flows and security need careful design.
Transactions above a value threshold set by regulation must be registered with the B-BBEE Commission. We confirm whether your deal qualifies and handle the registration.
This should be planned from the outset. Pre-emptive rights, lock-in periods, put and call options and valuation mechanisms protect both the company’s recognition and the shareholder’s investment.
Broad-based ownership schemes and employee share ownership programmes can be recognised under the Codes, provided they meet the specific requirements for those schemes.
