Franchise Lawyers

Franchise structuring, franchise agreements, disclosure documents and franchise disputes for franchisors and franchisees across South Africa.

Franchising lets a proven business grow on other people’s capital and energy, but only if the legal foundations hold. At O’Reilly Law, we advise franchisors, franchisees and brands entering South Africa on building, buying into and protecting franchise systems, combining franchise law expertise with commercial and litigation experience.

Why this matters

When franchise law goes wrong, the cost is real.

Building a franchise, or buying into one?

Our Franchise Services

Four ways we protect your franchise.

  1. Franchise structuring
For businesses ready to franchise: structuring the franchise system and franchisor entity, holding the intellectual property, and designing the fee model, including upfront fees, royalties, marketing funds and supply arrangements.
  2. Franchise documentation
Franchise agreements, CPA-compliant disclosure documents, master franchise and area development agreements, trade mark licences, and legal review of operations manuals, supply agreements and leases.
  3. Franchisee advisory
For prospective franchisees: review of the disclosure document and franchise agreement before you sign, negotiation of key terms, and advice on financing, leases and buying or selling an existing franchised outlet.
  4. Franchise disputes
Breach, unpaid royalties, encroachment, termination, renewal, restraints of trade and urgent interdicts, resolved through negotiation, mediation, arbitration or court.

We combine franchise law expertise with commercial and litigation experience, so your franchise system is built to grow and protected when relationships are tested.

The Competition Act, trade mark law and general contract law also apply. Membership of the Franchise Association of South Africa (FASA) is voluntary, but members are bound by its code of ethics.
It is a document the franchisor must give a prospective franchisee at least 14 days before the franchise agreement is signed. It contains prescribed information about the franchisor, the franchise system and its financial position, and should be reviewed with legal and financial advice.
Under the Consumer Protection Act, a franchisee may cancel within 10 business days of signing, without cost or penalty, by giving written notice. After that, cancellation depends on the terms of the agreement and general contract law.
Generally yes, unless the restraint is unreasonable and contrary to public policy. Courts consider whether the franchisor has a protectable interest, such as know-how, goodwill or its network, and whether the scope, duration and area of the restraint go further than necessary.
Yes. We advise franchisors on building and documenting their franchise systems, and franchisees on agreements, purchases and disputes. We never act for both sides in the same matter.
